1. Acceptance of terms
Cloud Elevate Pty Ltd ("Cloud Elevate", "we", "us" or "our") makes cloudelevate.com.au and related subdomains (the "Website") available on these terms. By accessing the Website, registering for an account on any of our products, or engaging us for services, you accept these terms.
The content on this Website — including text, images and arrangement — is the property of Cloud Elevate. Trade marks referenced belong to their respective owners. Nothing on the Website grants you, by implication or otherwise, any licence to any intellectual property of Cloud Elevate or any third party.
If you don't agree to these terms, don't use the Website or our services. We may amend these terms from time to time; continued use after changes are posted constitutes acceptance of the updated terms.
2. Accounts, passwords and security
Some features require an account. You may not use someone else's account without their permission. When registering, you must provide accurate, current information.
You are responsible for keeping your credentials confidential and for activity under your account. If you suspect unauthorised use, notify us immediately. Accounts may not be transferred without our prior written consent.
3. Personal use and service scope
The Website is provided for your information and use. You may not copy, distribute, transmit, broadcast, sell or otherwise exploit it beyond its intended functions.
Use of any Cloud Elevate product or service is limited to what's set out in the relevant Service Agreement, Statement of Work or subscription terms. Use beyond that scope — including commercial redistribution, sublicensing or providing access to unauthorised third parties — is not permitted without our prior written agreement.
4. User content
You are responsible for any content you submit to the Website or our products ("User Content"). Unless covered by a specific agreement (e.g. for AI training on your data) or an executed non‑disclosure agreement, User Content submitted via the Website will be treated as non‑confidential and non‑proprietary. You confirm you have the right to submit it.
For services involving your proprietary data under a signed Service Agreement or Statement of Work, that data will be treated as confidential in line with that agreement and any associated NDA.
Unsolicited ideas. We do not accept unsolicited idea submissions outside an established business relationship. To protect existing clients and ourselves, any such submission will not be treated as confidential, and we may freely develop or use similar ideas without obligation to you.
5. Restrictions on conduct
You must not:
- Use the Website or services for any unlawful purpose, or in breach of Australian law.
- Submit content you don't have the legal right to submit, or that infringes third‑party rights.
- Forge headers or hide the origin of any content.
- Submit content that is defamatory, threatening, hateful or otherwise inappropriate.
- Send spam or unsolicited commercial messages.
- Impersonate any person or misrepresent affiliation.
- Upload malicious or harmful code.
- Harm minors, or collect personal information without consent.
- Submit content that disparages Cloud Elevate, our staff or partners.
6. We don't review user content
We don't generally review user content. You may encounter content you find offensive or inaccurate; you accept that risk. You remain responsible for reviewing any AI‑generated content before relying on it.
7. Intellectual property
Our IP. All intellectual property in our products, services and underlying platforms remains ours.
Client deliverables. For bespoke deliverables, intellectual property is assigned to you on full payment, in line with your Service Agreement.
8. Links to other sites
Information on the Website is provided free, for information only. Any links to external sites are not endorsements; you use them at your own risk.
9. Warranty disclaimer
The Website is provided "as is". We disclaim all warranties to the maximum extent permitted by law. Liability under any service is limited as set out in the relevant Service Agreement.
10. Termination
We may suspend or terminate your access where you breach these terms or as otherwise permitted by law. Termination for cause does not give rise to a refund of fees. We may delete accounts and associated content following termination.
11. General
These terms are governed by the laws of the Australian Capital Territory. Disputes will be handled exclusively by courts in the ACT or the Federal Court of Australia. Where a Cloud Elevate engagement is also governed by a signed agreement (a Service Agreement, Statement of Work, or government contract), that document takes precedence over these terms to the extent of any conflict.
