CloudElevate Website and Services Terms of Service Last updated: July 2025 Your access to and use of https://CloudElevate.com and all related sub-domains, as well as your use of our Persona Content Co-Pilot application (whether SaaS or Self-Hosted) and any bespoke cloud, AI, or custom software development services provided by CloudElevate, are subject to the following terms and conditions and all applicable laws. 1. Acceptance of Terms CloudElevate Inc. ("CloudElevate" or "us" or "we") welcomes you to https://CloudElevate.com and related sub-domains (the "Website"). By accessing and using the Website, signing up for an account for the Persona Content Co-Pilot, or engaging with us for any of our bespoke services, you accept these terms and conditions, without limitation or qualification. Unless we say otherwise, the content of the Website, including but not limited to the text and images here and how they're arranged, are the property of CloudElevate. All trademarks used or referred to on this Website belong to their respective owners. Nothing on the Website should be seen as giving you, by implication or otherwise, any licence or right to any copyright, patent, trademark or other proprietary interest of CloudElevate or any third party. If you don't agree to these Terms of Service, don't use the Website or our services. We can change these Terms of Service any time without telling you beforehand. It's your responsibility to check these Terms of Service from time to time for any changes, as your continued use of the Website or our services after such changes creates a binding legal agreement between you and CloudElevate. If you use the Website or our services after we've changed any of the Terms of Service, you're agreeing to all the changes. 2. Account, Passwords, Security (for Persona Content Co-Pilot and other secured services) You might need to set up an account to use some features of the Website or our Persona Content Co-Pilot application. You can't use someone else's account without their clear permission. When you're setting up your account, you must give us accurate and complete information. This means you can't create an account using a name or contact details that aren't yours, and you must provide accurate and current information on all registration forms that are part of the Website or application. You're completely responsible for keeping your account details confidential and for everything that happens under your account. This means you need to be careful with your password and any multi-factor authentication details. If you find out that someone's using your account without your permission, you must let us know straight away. You can't transfer your account to anyone else without our prior written consent. We're not liable for any damages or losses caused by someone using your account without your permission. However, if we (or anyone else) suffer any damage because of the unauthorised use of your account (including by an unauthorised third party), you might be liable. 3. Personal Use and Service Scope We're making the Website available to you just for your information and personal use. You can't (and you agree not to) use, copy, distribute, transmit, broadcast, sell, or do anything else with the Website for any other purpose beyond its intended informational and interactive functions. For the Persona Content Co-Pilot application and other bespoke services: Your use is strictly limited to what's set out in your specific Service Agreement, Statement of Work (SOW), or subscription tier details, which include these Terms of Service. Any use outside of this defined scope, including but not limited to commercial redistribution, sublicensing, or giving access to unauthorised third parties, is strictly forbidden unless we've given you express permission in a separate written agreement with CloudElevate. 4. User Content You're solely responsible for any User Content you post to the Website or submit through our Persona Content Co-Pilot application, and for what happens if you post or publish it. "User Content" means any information, data, text, software, music, sound, photos, graphics, videos, messages, tags, interactive features, or any other materials you post, upload, share, submit, or otherwise provide in any way connected with the Website or our services. Unless we've clearly stated otherwise in a specific Service Agreement (e.g. for custom AI model training on your proprietary data) or a written non-disclosure agreement, any User Content you submit through the Website or our Persona Content Co-Pilot application will be considered non-confidential and non-proprietary. You confirm that you have the lawful right to submit such information and agree that you won't submit any information unless you're legally allowed to, and that your submission doesn't breach any third-party rights (including intellectual property, privacy, or confidentiality obligations). Because of how open the Internet is, and for general Website submissions, we suggest you don't submit information you consider confidential. For specific AI or Software Development services involving your proprietary data: Any data, models, or intellectual property you give to us under a formal Service Agreement or SOW for custom AI model development, system modernisation, or similar bespoke services will be treated as confidential and proprietary in line with that specific agreement and any associated Non-Disclosure Agreement (NDA). Unauthorised Idea Submissions: CloudElevate doesn't accept unauthorised idea submissions outside of established business relationships. To protect the interests of our existing clients and ourselves we have to handle such submissions very carefully. Without a clear business relationship and a documented confidential agreement, CloudElevate can't and doesn't treat any such submissions as confidential. Please don't send any unauthorised idea submissions to CloudElevate through the Website. Any ideas shared with CloudElevate outside of a pre-existing and documented confidential business relationship aren't confidential, and CloudElevate can therefore develop, use, and freely share or publish similar ideas without paying you or being accountable to you. By submitting an idea or other detailed submission to CloudElevate through the Website, you agree to be bound by this policy. 5. Restrictions on User Content and Your Conduct You mustn't: • Use our Website or services for any illegal purpose or in breach of any applicable Australian laws, regulations, or government policies. • Submit User Content that you don't have the legal right to submit, or that infringes on someone else's rights. • Forge headers or other identifiers to hide origin of User Content. • Submit User Content that is illegal, defamatory, threatening, hateful, or otherwise inappropriate. • Send spam or unsolicited advertising. • Impersonate anyone or misrepresent affiliation. • Upload malware or harmful code. • Harm minors or collect personal info without consent. • Submit User Content which disparages CloudElevate or partners. We may delete any User Content that breaches these rules. 6. We are Not Responsible for User Content We generally don't review User Content posted by users. You acknowledge you might come across content you find offensive or inaccurate and agree we aren't liable. You remain responsible for reviewing AI-generated content. 7. Proprietary Rights The Website's content mustn't be copied or distributed without consent. You may print one copy for personal use with notices intact. Our Intellectual Property: All IP in the Persona Content Co-Pilot and related solutions remains ours. Client Deliverables: Bespoke CAPEX deliverables IP is assigned to your agency upon full payment, as per your agreement. 8. Links to Other Sites Information is provided free and for information only. Links to external sites are not endorsements; use them at your own risk. 9. Warranty Disclaimer The Website is provided “as is”. We disclaim all warranties. Liability is limited as per your Service Agreement. 10. Termination and Suspension We may terminate or suspend access without notice. No fee refunds on termination for cause. We may delete accounts and content. 11. General Terms These Terms are governed by Victorian law. Disputes will be handled exclusively by courts in Victoria, Australia. Government clients' agreements take precedence over these Terms where there's conflict.
